3. Payment and Invoicing

3.1 The Client agrees to pay the Company as specified in the contract or invoice, including any applicable taxes.

3.2 Payment terms, methods, and due dates will be specified in the invoice.

3.3 Failure to make payments on time may result in a suspension of services and/or legal action to recover outstanding fees.

4. Confidentiality

4.1 Both parties agree to maintain the confidentiality of all information exchanged during the course of the agreement.

4.2 The Company may disclose Client information to employees or subcontractors as necessary, provided they are bound by similar confidentiality agreements.

5. Intellectual Property

5.1 The Company retains all rights to any intellectual property developed during the provision of services.

5.2 The Client may use any deliverables for their intended purpose but may not reproduce, distribute, or modify them without the Company’s written consent.

6. Termination

6.1 Either party may terminate the agreement with written notice, provided that any outstanding payments and obligations are fulfilled.

6.2 The Company reserves the right to terminate services immediately if the Client breaches any terms or conditions outlined herein.

7. Warranty and Liability

7.1 The Company warrants that services will be performed in a professional and workmanlike manner.

7.2 The Client agrees that the Company’s liability for any claims arising from the agreement will be limited to the amount paid for the services.

8. Governing Law

8.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which HSBLOC SOLUTION operates.

9. Entire Agreement

9.1 This document constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.

10. Amendments

10.1 Any changes or amendments to these terms and conditions must be made in writing and agreed upon by both parties.
